Role OverviewAeroiuris, a Madrid-based law firm specialized in aeronautics law, is growing and expanding its legal team. We are recruiting a Lawyer to join its Commercial Aircraft Contracts department. The position supports high-volume transactional work involving airlines, lessors, financiers, and manufacturers. This is a key role in the firm's primary legal division, which handles a large volume of work, providing legal execution, risk control, and client support.You are a motivated legal professional with a genuine interest in the aviation industry, ready to work in an international environment and contribute to cross-border legal matters. The associate will ensure accurate legal work, transaction coordination, and timeline management under the supervision of the unit’s lead counsel.Key ResponsibilitiesThe associate will take part in a wide variety of tasks, including but not limited to:Drafting and negotiating:Operating Lease and Finance Lease AgreementsSale & Leaseback AgreementsWet Lease and Dry Lease AgreementsMaintenance Contracts (PBH, MRO agreements)Novation, Assignment, and Sublease AgreementsExecuting Letters of Intent and supporting multi-party transactionsCoordinating Conditions Precedent processes with the CPR&R departmentSupervising aircraft registrations and deregistrations before:AESA’s Aircraft RegistryMadrid Movable Property Registry (RBM)Cape Town International RegistrySupporting aircraft finance transactions, including registration of guarantees and enforcement proceduresParticipating in due diligence, asset tracking, and compliance auditsAdditional responsibilities may arise depending on operational or regulatory needs.Education & QualificationsLaw Degree from a recognized and reputable universityPreferred: Master’s in Aviation Law, International Business Law, or related specialtyEnglish fluency (C1+ written and oral) is mandatoryAdditional languages highly valued, particularly French, German, or others relevant to international aviationProfessional Experience3 to 5 years of successful professional experience as an associate lawyer in transactional law, ideally involving high-value assets and complex contractual structures,Prior experience in aviation law, aircraft leasing, asset finance, or transport-related industries is highly desirable,Alternatively, experience gained within an international law firm, boutique practice, lessor, airline, financial institution, or in-house legal department handling cross-border commercial or financing transactions,Demonstrated ability to manage transactions from drafting through execution and closing, within demanding timelines and multi-party environments,Proven exposure to live transactions and closing processes, rather than purely advisory or academic workComplementary Legal ExpertiseIn addition to aviation-specific knowledge, candidates are expected to demonstrate a solid foundation in general transactional and corporate law, including in particular:Core principles of corporate law, including company formation, governance, shareholders’ agreements, and corporate approvalsDrafting and negotiation of commercial contracts under English law and/or civil law systemsUnderstanding of corporate authorities, powers, and execution formalities in cross-border transactionsFamiliarity with M&A-style documentation mechanics relevant to asset transactions, including conditions precedent, representations and warranties, covenants, and indemnitiesBasic knowledge of security packages and guarantees, such as corporate guarantees, pledges, assignments, and step-in rights, particularly in an asset finance contextAbility to coordinate with notaries, registries, and external counsel on corporate and transactional mattersTechnical KnowledgeCandidates must demonstrate or develop proficiency in:Drafting and negotiation of aircraft lease and sale contractsLegal framework for aviation assets and aircraft as movable propertyCape Town Convention compliance and international guarantee enforcementNational and international aircraft registry operationsRegulatory compliance under EASA, AESA, and applicable Spanish aviation lawBasic understanding of aircraft financing structures, guarantees, and default proceduresCoordination of documentation for complex multi-jurisdictional transactionsFamiliarity with regulatory developments affecting commercial aviation and leasing marketsAwareness of environmental and sustainability-related compliance (e.g. CORSIA, EU ETS)This list is not exhaustive and may evolve depending on the firm’s needs and industry developments.Soft Skills & Team FitStructured, dependable, and precise in contract executionDetail-oriented with strong organizational habitsCalm under pressure, able to handle multiple files in parallelComfortable working in a team-based structure, with shared responsibilitiesProactive, service-minded, and focused on quality outcomesHigh standards of discretion, confidentiality, and client professionalismTerms & Contractual ConditionsContract Type: PermanentTrial Period: 6 monthsFixed Gross Annual Salary: Competitive, based on experience and qualificationsVariable Compensation: Available, linked to performance and contributionLocation: Madrid (on-site)Working in MadridMadrid offers a vibrant, international environment with a high quality of life, excellent infrastructure, and an expanding professional legal community.
